Mystic Maker Retreats Vendor Participation Agreement
​
This Vendor Participation Agreement (“Agreement”) is entered into by and between Mystic Maker Retreats (“Company,” “Event Host,” or “MMR”) and the undersigned vendor (“Vendor”) in connection with participation in the Mystic Maker Vendor Fair at the Mystic Maker Retreat.

1. Event Information
Vendor is applying to participate in the Mystic Maker Vendor Fair as part of the Mystic Maker Retreat currently planned for June 12–15, 2026 in Temecula, California, or on such other date, time, and location as determined by Mystic Maker Retreats.
2, Application and Acceptance
Submission of a vendor application does not guarantee acceptance into the event. Mystic Maker Retreats reserves the right to accept or decline any vendor application at its sole discretion.

If selected, Vendor will be notified by Mystic Maker Retreats and must complete any required follow-up steps, including payment of the vendor fee, by the stated deadline in order to secure participation.

3. Vendor Fee
The vendor fee is $75 per table.
Vendor space is not confirmed until payment has been received in full. Mystic Maker Retreats reserves the right to release any unpaid vendor space to another applicant if payment is not received by the required deadline.

4. Vendor Space and Setup
Mystic Maker Retreats will assign vendor space at its discretion. Vendor placement, layout, and table location are not guaranteed and may be adjusted at any time for operational, safety, or event flow reasons.
Unless otherwise stated in writing:
Vendor is responsible for bringing any additional setup materials needed for their display
Vendor is responsible for setting up, styling, and breaking down their own space
Vendor must keep their area clean, safe, and visually appropriate for the event
Vendor may only use the space assigned to them
Vendor may not obstruct walkways, neighboring vendors, or shared event areas
Mystic Maker Retreats will provide table and chair details separately if applicable.

5. Vendor Responsibilities
Vendor is solely responsible for:
their own products, services, materials, display items, and signage
their own payment processing
collecting and remitting any required sales tax
all pricing, customer service, and fulfillment related to their offerings
compliance with all applicable laws, licenses, permits, and regulations related to their business and offerings
Vendor represents that all products and services offered are lawful, safe, professionally presented, and accurately described.

6. Approved Offerings Only
Vendor may only offer the products and/or services described in their application or otherwise approved by Mystic Maker Retreats.
Mystic Maker Retreats reserves the right to require Vendor to remove any item, signage, promotion, or offering that is deemed inappropriate, misleading, unsafe, offensive, disruptive, or inconsistent with the event’s brand, audience, or experience.

7. Professional Conduct
Vendor agrees to conduct themselves in a professional, respectful, and welcoming manner at all times.
Vendor agrees not to engage in any conduct that is disruptive, aggressive, inappropriate, discriminatory, unsafe, or damaging to the experience of guests, staff, or other vendors.
Mystic Maker Retreats reserves the right to remove Vendor from the event, without refund, for behavior that violates this section or otherwise harms the integrity of the event.

8. Promotional Materials and Marketing Permission
By applying and participating, Vendor grants Mystic Maker Retreats permission to use the following materials for event-related marketing and promotion:
business name
headshot
logo
social media handle
website
bio
tagline
product or service photos
other materials submitted through the application process
This permission may be used across Mystic Maker Retreats’ website, email marketing, social media, and other promotional materials related to the event.
Vendor represents that they have the right to use and submit all photos, branding, and materials provided.

9. Optional Attendee Perks
If Vendor agrees to offer a complimentary mini session, free 5-minute reading, discount, or other attendee perk, Vendor is responsible for honoring that offer as described.
Mystic Maker Retreats is not responsible for disputes arising from a Vendor’s promotional offer, service, or customer interaction.

10. Assumption of Risk
Vendor understands that participation in an in-person event involves inherent risks, including but not limited to theft, property damage, accidental injury, weather-related issues, guest interactions, vendor interactions, and unforeseen disruptions.
Vendor voluntarily assumes all risks associated with participation in the event.

11. No Responsibility for Vendor Property
Mystic Maker Retreats is not responsible for any lost, stolen, damaged, or misplaced property belonging to Vendor, Vendor staff, or Vendor guests.
Vendor is solely responsible for securing and protecting their own products, money, devices, equipment, supplies, and personal belongings.

12. Release and Limitation of Liability
To the fullest extent permitted by law, Vendor releases and holds harmless Mystic Maker Retreats, its owner, representatives, staff, contractors, volunteers, venue partners, and affiliates from any and all claims, losses, liabilities, damages, costs, or expenses arising out of or related to:
Vendor’s participation in the event
Vendor’s setup, breakdown, or use of the vendor space
Vendor’s sales, products, or services
interactions with guests, other vendors, or third parties
theft, property damage, bodily injury, illness, or other loss, except to the extent caused by gross negligence or willful misconduct of Mystic Maker Retreats
In no event shall Mystic Maker Retreats be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, business opportunity, goodwill, or reputation.

13. Indemnification
Vendor agrees to indemnify, defend, and hold harmless Mystic Maker Retreats, its owner, representatives, staff, contractors, volunteers, venue partners, and affiliates from and against any claims, demands, actions, losses, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
Vendor’s breach of this Agreement
Vendor’s products, services, representations, or conduct
Vendor’s negligence or willful misconduct
Vendor’s violation of any law, regulation, permit, or third-party right
14. Insurance
Vendor is responsible for obtaining any insurance coverage they deem appropriate for their participation, business activities, products, or services.
Mystic Maker Retreats may request proof of insurance from certain vendors at its discretion.

15. Cancellation by Vendor
If Vendor cancels after being accepted and paying the vendor fee, the vendor fee is non-refundable, unless Mystic Maker Retreats agrees otherwise in writing.
Vendor may not transfer their vendor space to another person or business without prior written approval from Mystic Maker Retreats

16. Cancellation or Changes by Mystic Maker Retreats
Mystic Maker Retreats reserves the right to modify the event date, time, location, format, vendor layout, or event details as needed.
If the event is canceled by Mystic Maker Retreats, Vendor may be offered either:
a refund of the vendor fee, or
a credit toward a future event
The remedy offered will be determined by Mystic Maker Retreats in its sole discretion unless otherwise required by law.
Mystic Maker Retreats is not responsible for any other Vendor costs, including travel, lodging, shipping, marketing, lost profits, or other out-of-pocket expenses.

17. Force Majeure
Mystic Maker Retreats shall not be liable for delay, cancellation, or failure to perform due to causes beyond its reasonable control, including but not limited to weather, natural disaster, venue issues, public health events, government actions, labor shortages, utility failures, transportation disruptions, or other force majeure events.

18. Independent Business Status
Vendor is participating as an independent business and is not an employee, contractor, partner, agent, or representative of Mystic Maker Retreats.
Nothing in this Agreement creates any partnership, joint venture, employment relationship, or agency relationship between the parties.

19. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
​
20. Mediation and Venue
If any dispute arises out of or relates to this Agreement, the parties agree to first attempt to resolve the matter through good-faith informal discussion.
If the matter cannot be resolved informally, the parties agree to attempt to resolve the dispute through mediation in Orange County, California, or remotely by mutual agreement, before filing suit.
If mediation does not resolve the dispute, the parties agree that any legal action shall be brought exclusively in the state or federal courts located in Orange County, California.

21. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to Vendor’s participation in the event and supersedes all prior discussions, emails, understandings, or agreements relating to that subject matter.

22. Amendment
This Agreement may only be amended in writing by Mystic Maker Retreats.
​
23. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
​
24. Electronic Acceptance
Vendor agrees that checking the required agreement boxes, submitting the application form, typing their name, and/or otherwise electronically accepting these terms shall constitute valid acceptance of this Agreement.

Vendor Acknowledgment
By submitting this application, I acknowledge that:
I have read and understood this Vendor Participation Agreement
I understand that submitting an application does not guarantee acceptance
I understand that if selected, the vendor fee is $75 per table
I agree to comply with the event rules, expectations, and responsibilities outlined above
I understand that Mystic Maker Retreats is not responsible for my property, sales, services, or business activities at the event
